The General Partner has registered with the Financial Services Agency of Japan as operating under “Exemption for Special Business Activities Directed at Qualified Institutional Investors” as set forth under Article 63 of Financial Instruments and Exchange Act of Japan (including any amendments or successor laws, the “FIEA”).
The limited partnership interests of the Fund may not be offered for a public offering in Japan unless a securities registration statement pursuant to Article 4, Paragraph 1 of the FIEA has been filed with the Director of the Kanto Local Finance Bureau of the Ministry of Finance of Japan. No securities registration statement for a public offering has been filed or will be filed with respect to the solicitation for the purchase of the Interests of the Fund in Japan as the Interests are not being publicly offered in Japan and the offering of the Interests does not fall within the scope of a “public offering” as defined under Article 2, Paragraph 3, Item 3 of the FIEA.
The Interests of the Fund are “deemed securities” as defined under Article 2, Paragraph 2, Item 6 of the FIEA.
